Marketplace Buyer Terms

1. Scope and Acceptance

These Marketplace Buyer Terms govern your purchase of digital audio products through the Versic marketplace. By placing an order, completing a checkout, or downloading any purchased file, you agree to be bound by these terms. If you do not agree, do not complete a purchase.

These terms apply in addition to Versic's general Terms of Service. Where a specific marketplace term conflicts with the general terms, the marketplace term controls for purchases made on the marketplace.

2. Versic Is the Venue, Not the Seller

Versic operates a technology platform that lets independent sellers list and sell their digital audio products. Versic is not the seller of any product, is not a party to the transaction between you and a seller, and is not the merchant of record. The seller who lists a product is the merchant of record for that sale and is solely responsible for it.

Versic does not take a commission or cut on sales. We provide the listing, discovery, and checkout tools that connect you with sellers; the contract for each purchase is formed directly between you and the seller.

3. What a Purchase Grants You

Unless the product listing expressly states otherwise, a purchase grants you a license to use the digital audio files together with access to download them. A purchase does not transfer copyright or ownership of the underlying work to you. The seller (or the seller's licensors) retains all intellectual property rights in the product.

The specific rights, permitted uses, and restrictions that come with your purchase are defined by the applicable license. Please review the License Terms and any license details shown on the product listing before you buy.

4. Instant Digital Delivery and Access

Marketplace products are instant-delivery digital audio, such as samples, tracks, beat packs, sound kits, and mixtapes. Access to download your purchased files is granted immediately upon successful payment. There is no physical product and nothing is shipped.

You are responsible for downloading and storing your files. We recommend keeping a personal backup of every file you purchase, as continued availability of a download link is not guaranteed.

5. Final Sale and Refunds

Because products are digital goods delivered instantly, all sales are final and non-refundable once access has been granted. The limited exceptions are a duplicate charge for the same order, or a file that is genuinely broken, corrupted, or inaccessible and cannot be made to work.

If you experience a duplicate charge or a broken or inaccessible file, contact support@versic.app promptly so the issue can be investigated and routed to the seller. Refunds, when warranted, are issued by the seller as the merchant of record; Versic does not hold sale proceeds and cannot unilaterally issue a refund on the seller's behalf. 6. Seller Responsibility

The seller, not Versic, is responsible for the product, its description and licensing, the quality and contents of the delivered files, fulfillment, and any refund or adjustment. The seller is also responsible for handling chargebacks and disputes and for its own taxes.

If a product is not as described or you have a concern about what you received, your claim is with the seller. Versic may assist by relaying communications, but it is not obligated to mediate and is not responsible for the seller's products or conduct.

7. Payment Processing and Data Sharing

Payments are processed by Stripe through direct charges on the seller's own Stripe connected account. The seller bears the Stripe processing fee, and Versic does not collect a commission on the sale. Versic does not store your full card details.

To complete a purchase, certain information about you and your order is shared with Stripe and with the seller as needed to process the payment, deliver the product, provide support, and meet legal and tax obligations. Your use of Stripe is also subject to Stripe's own terms and privacy policy.

8. Prohibited Buyer Conduct

You may not resell, redistribute, share, sublicense, or otherwise make your purchased files available to others except as expressly permitted by the applicable license. You may not upload purchased files to file-sharing services or claim ownership of the underlying work.

You may not initiate a chargeback or payment dispute in bad faith, including for products you have downloaded and used. Abusive chargebacks, fraud, and license violations may result in suspension of your account and forfeiture of access to purchased files, in addition to any other remedies available to the seller or Versic.

9. Disclaimers

The marketplace and all products are provided on an "as is" and "as available" basis. Versic does not create, review, endorse, or guarantee any product and makes no warranty about a product's quality, originality, licensing, or fitness for any purpose. Any warranties for a product, if any, are provided by the seller, not by Versic.

10. Limitation of Liability

To the maximum extent permitted by law, Versic is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising out of a product, a seller, or a transaction between you and a seller. Versic's total liability for any claim relating to a marketplace purchase will not exceed the amount of the platform fees, if any, that Versic actually received in connection with that purchase.

11. Disputes Between Buyer and Seller

Any dispute about a product, its licensing, delivery, or a refund is between you and the seller. Because Versic is the venue and not a party to the sale, it is not responsible for resolving such disputes, though it may, at its discretion, share order information to help the parties reach a resolution.

12. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to transact on the marketplace. By making a purchase, you represent that you meet this requirement and that the payment method you use is your own and authorized.

13. Governing Law

These terms are governed by the laws of [GOVERNING JURISDICTION], without regard to its conflict-of-laws rules. Any dispute with Versic relating to these terms will be subject to the exclusive jurisdiction of the courts located in [VENUE], except where applicable law provides otherwise.
