Content License (EULA)

1. About This License

This End User License Agreement (the "License") governs your use of digital audio products that you purchase through Versic, such as samples, loops, tracks, beat packs, sound kits, and mixtapes. The License is a direct agreement between you (the "Buyer" or "Licensee") and the seller who created and listed the product (the "Seller" or "Licensor").

Versic operates a technology platform that hosts listings and facilitates payment. Versic is not the seller, not the licensor, and not a party to this License. Where a product page sets out license terms that differ from or add to this default License, the terms on the product page control to the extent of any conflict.

2. Definitions

"Product" means the digital audio files and any accompanying materials you purchase. "Licensed Material" means the audio content within a Product. "Your Work" means a musical work, recording, production, or project that you create and into which you incorporate the Licensed Material. "Platform" means the Versic website, apps, and related services.

3. Grant of License

Subject to your payment in full and your compliance with this License, the Seller grants you a non-exclusive, worldwide, perpetual license to use the Licensed Material in Your Work, whether for commercial or personal purposes. This grant is the default for every Product unless the product page states a more restrictive license, in which case the narrower terms on that page apply.

This License is personal to you. It is granted to the account that completed the purchase and may not be transferred or assigned except as part of a sale of the entire body of Your Work in which the Licensed Material is already embedded.

4. Ownership and Copyright

The Seller retains all copyright and ownership in and to the Licensed Material. This License grants you permission to use the Licensed Material as described here; it does not transfer ownership of the underlying sample, recording, or composition to you. You own the original elements you contribute to Your Work, but the Seller continues to own the Licensed Material itself.

5. Permitted Uses

You may incorporate the Licensed Material into beats, songs, instrumentals, productions, and other original works that you create. You may modify, edit, layer, and arrange the Licensed Material as part of that creative process. You may release and distribute Your Work commercially, including selling, streaming, performing, and synchronizing it, subject to any limits stated on the product page.

6. Prohibited Uses

You may not resell, redistribute, share, sublicense, or otherwise transfer the raw or unaltered Licensed Material, whether on its own or as part of another product. You may not claim authorship of, or copyright in, the Licensed Material itself as distinct from Your Work. You may not include the Licensed Material in a sample pack, loop kit, sound kit, or similar product that competes with the original Product.

You also may not redistribute the Licensed Material as a non-fungible token (NFT) or other tokenized asset, and you may not provide, sell, or expose the Licensed Material as data for training machine learning or artificial intelligence models. Any use not expressly permitted here or on the product page is reserved by the Seller.

7. Seller Warranty and Responsibility for Infringement

The Seller represents and warrants that it owns or controls all rights necessary to license the Licensed Material to you on the terms set out here and on the product page. If the Licensed Material infringes the rights of a third party, the Seller, and not Versic, is responsible. Versic does not create, own, vet, or guarantee the Licensed Material and disclaims all liability for the rights, originality, or licensing of any Product.

8. Term and Termination

This License takes effect when your payment is completed and continues perpetually unless terminated. The License terminates automatically if you breach any of its terms. The License is also revoked if your purchase is fully refunded or reversed through a chargeback or payment dispute, because the consideration for the grant has been returned.

On termination or revocation, you must stop using the Licensed Material and delete all copies in your possession. Where the Licensed Material has already been irrevocably embedded in commercially released copies of Your Work, the parties should look first to the product page and then resolve any remaining issues directly with the Seller.

9. Instant Delivery

Products are delivered digitally and access is granted immediately upon successful payment. Because delivery is instant and the Licensed Material cannot be returned once accessed, refunds, where offered, are at the Seller's discretion and are handled directly by the Seller as the merchant of record.

10. No Warranty

The Licensed Material is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except for the Seller representations stated in Section 7. Versic provides no warranty of any kind with respect to the Licensed Material.

11. Exclusive and Custom Licenses

Some Sellers may offer exclusive or custom licenses for a Product. Where offered, the scope, exclusivity, pricing, and any additional terms of such a license are defined on the product page and govern your use in place of the default grant above. An exclusive license is effective only when the Seller has expressly designated it as exclusive for your purchase.

12. Versic's Role

Versic is a technology platform and venue that hosts Seller listings and facilitates payment through Stripe Connect using direct charges on the Seller's own connected account. The Seller is the merchant of record and bears the payment processing fee. Versic is not a party to this License and takes no commission on sales. Any dispute about the Licensed Material, its licensing, or its fulfillment is between you and the Seller.
