1. Acceptance of Terms

By accessing or using Versic, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Versic provides cloud-native collaboration and versioning services for digital audio workstation (DAW) projects. Our platform includes file synchronization, version control, collaboration tools, and streaming playback features. Versic also operates an optional marketplace for buying and selling digital audio, described in Section 9.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree to use Versic only for lawful purposes. You may not upload content that infringes on intellectual property rights, contains malware, or violates any applicable laws. Your use of the marketplace is additionally governed by our Acceptable Use Policy, available at /legal/acceptable-use.

5. Content Ownership

You retain all rights to the content you upload to Versic. By using our service, you grant us a limited license to store, process, and transmit your content as necessary to provide the service.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

7. Termination

We reserve the right to suspend or terminate your account if you violate these terms. You may also cancel your account at any time through your account settings.

8. Intellectual Property and Infringement

Versic respects the intellectual property rights of others and expects every user to do the same. If you believe that content hosted on or sold through Versic infringes your copyright, you may submit a notice under our DMCA Policy, available at /legal/dmca. We will respond to valid notices in accordance with applicable law, and we may remove content and terminate repeat infringers.

9. Marketplace

Versic operates an optional marketplace where users may list, buy, and sell instant-delivery digital audio products, including samples, tracks, beat packs, sound kits, and mixtapes. The marketplace is a separate, voluntary feature; you are not required to buy or sell anything to use Versic's core collaboration and versioning service.

Versic is a technology provider and venue only. Versic is not the merchant of record, is not the seller, and is not a party to any transaction between a buyer and a seller. The seller is the merchant of record for every sale and is solely responsible for the product, its description, its licensing, its delivery, and all communications and obligations to the buyer.

10. Payments and Fees

All marketplace payments are processed by Stripe through Stripe Connect using direct charges on the seller's own Standard connected account. Funds for a sale are collected directly on the seller's Stripe account, and the seller's use of Stripe is subject to the Stripe Connected Account Agreement and Stripe's Services Agreement.

The seller bears the Stripe processing fee on each sale. Versic takes no commission and no cut of marketplace sales. Versic does not hold, custody, or disburse sale proceeds. Because each product is instant-delivery digital audio, access is granted to the buyer immediately upon a successful payment.

11. Seller Responsibilities

As a seller, you represent that you own or have all rights, licenses, and permissions necessary to sell each product you list and to grant the license you offer to buyers. You are solely responsible for the accuracy of your listings, the quality and fulfillment of your products, your pricing, your refunds, and any chargebacks or payment disputes raised against your Stripe account.

You are solely responsible for determining, collecting, reporting, and remitting any taxes arising from your sales, including sales tax, VAT, GST, and income tax. Versic does not calculate, collect, or remit taxes on your behalf. Your participation as a seller is governed by the Seller Agreement, available at /legal/seller-agreement.

12. Buyer Terms and Licensing

When you purchase a product through the marketplace, you buy directly from the seller, not from Versic. Your purchase is governed by our Buyer Terms, available at /legal/buyer-terms, and your rights to use the product are defined by the applicable License Terms, available at /legal/license-terms, together with any additional license the seller specifies in the listing.

Because products are instant-delivery digital audio, all sales are final except as set out in our Refund Policy, available at /legal/refund-policy. Refunds, where offered, are issued at the seller's discretion and from the seller's Stripe account; Versic does not issue refunds for marketplace purchases.

13. Prohibited Goods

You may not list or sell any product that you do not have the right to distribute, that infringes a third party's copyright, trademark, or other intellectual property, or that contains uncleared samples. You may not list or sell malware, content that is unlawful, defamatory, or that violates any applicable law, or any item prohibited by our Acceptable Use Policy. Versic may remove any listing and suspend any account at its discretion.

14. Marketplace Disclaimer and Limitation of Liability

The marketplace is provided on an as-is and as-available basis. Versic makes no representations or warranties regarding any product, including its quality, legality, licensing, fitness for a particular purpose, or the conduct, identity, or trustworthiness of any buyer or seller. Versic is not responsible for any product sold, any license granted, any failure of delivery, or any act or omission of a buyer or seller.

To the maximum extent permitted by law, Versic is not liable for any dispute, loss, or damage arising out of a marketplace transaction. Any dispute concerning a product, payment, refund, or license is solely between the buyer and the seller. The disclaimers in this section are in addition to, and do not limit, any other disclaimers in these Terms.
