Marketplace Seller Agreement

1. Versic Is a Facilitator, Not a Seller
Versic operates a marketplace where independent creators list and sell digital audio products. Versic provides the technology platform and the venue only. Versic is not the seller, is not the merchant of record, and is not a party to any sale between you and a buyer. When a buyer purchases your product, the contract for that sale is solely between you and the buyer.
By listing a product on the Versic marketplace, you agree to this Marketplace Seller Agreement. This agreement supplements Versic's Terms of Service and incorporates Versic's Acceptable Use Policy and DMCA Policy by reference.
2. Eligibility and Stripe Onboarding
To sell on Versic you must be at least eighteen years old, have the legal capacity to enter into contracts, and complete Stripe Connect onboarding for a Standard connected account. As part of onboarding you must review and accept Stripe's Connected Account Agreement directly with Stripe, and you remain bound by it for as long as you sell on Versic. Stripe may require identity verification, business details, and bank or payout information before it will enable charges or payouts on your account.
You are responsible for keeping your Stripe account in good standing. If Stripe restricts, pauses, or closes your connected account, you may be unable to receive payouts or to continue selling on Versic, and Versic cannot override Stripe's decisions about your account.
3. You Are the Merchant of Record
For every sale you make on Versic, you are the merchant of record. This means the buyer is purchasing from you, not from Versic. You are solely responsible for the product, its description and licensing terms, fulfillment and delivery quality, customer support, refunds, chargebacks and disputes, and all applicable taxes. Charges are processed as direct charges on your own Standard Stripe connected account, so the payment is made to you and appears on the buyer's statement in connection with your account.
4. Pricing and Fees
You set the price of each product you list. Versic charges no commission and takes no cut of your sales. The only deduction from a sale is Stripe's payment processing fee, which Stripe charges directly on your connected account. In practical terms, your payout for a sale equals the gross price the buyer paid minus Stripe's processing fee. Versic does not add a platform fee on top of that.
Stripe's processing fees, payout timing, and any currency conversion charges are determined by Stripe under your Connected Account Agreement and may change. You are responsible for understanding Stripe's current fee schedule for your account and region.
5. Payouts
Because charges are made directly on your Standard connected account, sale proceeds are held by Stripe and paid out to you directly on Stripe's payout schedule for your account. Versic does not hold, custody, or disburse your funds and does not control your payout timing. Questions about a specific payout, a payout hold, or a reserve are governed by your relationship with Stripe and should be directed to Stripe.
6. Digital Delivery
Products sold on Versic are instant-delivery digital audio files, such as samples, tracks, beat packs, sound kits, and mixtapes. Access is granted to the buyer immediately upon successful payment. You are responsible for ensuring that every file you list is the correct, complete, and working file you intend to sell, and that it matches your listing's description.
7. Refunds, Chargebacks, and Disputes
As the merchant of record, you are solely responsible for handling refunds, chargebacks, and payment disputes for your sales, and for issuing any refunds through Stripe. You set and publish your own refund policy, consistent with applicable consumer-protection law and any digital-goods or instant-delivery requirements that apply to your buyers.
Refunds, chargebacks, dispute fees, and any resulting negative balance on your connected account are your responsibility. If a dispute or refund creates a negative balance, you are responsible for covering it. Versic is not a party to these transactions and does not reimburse refunds, chargebacks, or related fees.
8. Taxes
You are solely responsible for determining, collecting, reporting, and remitting all taxes that apply to your sales, including sales tax, VAT, GST, and income tax. Any tax forms, such as a 1099 or equivalent, relate to your Stripe connected account and your relationship with Stripe and the relevant tax authorities. Versic does not calculate, collect, withhold, or remit taxes on your behalf and does not issue tax forms for your sales.
9. Content Warranties
You represent and warrant that you own, or have secured all rights, licenses, and permissions necessary to sell and license, every file you list, including any samples, recordings, compositions, stems, and artwork they contain. You warrant that your products do not infringe any copyright, trademark, publicity, privacy, or other right of any third party, and that any uncleared samples have been removed or properly licensed before you list. You are responsible for the accuracy of your listing's licensing terms.
10. Prohibited Products and Content
You may not list products that infringe intellectual property, contain uncleared or unlicensed samples, contain malware, are misrepresented or fraudulent, or that otherwise violate Versic's Acceptable Use Policy or applicable law. Listings must be genuine digital audio products as described and must not be used to facilitate prohibited, illegal, or deceptive activity.
11. Enforcement, Removal, and Takedowns
Versic may remove or disable any listing, withhold a product from sale, and suspend or terminate your selling privileges if we reasonably believe you have violated this agreement, the Acceptable Use Policy, or applicable law, or to address fraud, abuse, or risk to buyers or the platform. Versic responds to valid copyright complaints and honors takedown and counter-notice procedures under its DMCA Policy, and may remove allegedly infringing listings in accordance with that policy.
12. Indemnification
You agree to indemnify, defend, and hold harmless Versic and its officers, employees, and agents from and against any claims, demands, losses, liabilities, damages, fees, and expenses, including reasonable attorneys' fees, arising out of or related to your products, your listings, your conduct as a seller, any intellectual property infringement, your taxes, your refunds, chargebacks, or disputes, and any loss, fee, fine, or negative balance that Stripe passes through to Versic or its platform account in connection with your activity.
13. Disclaimer of Liability
Because Versic acts only as a facilitator and is not a party to the sale, Versic disclaims liability for the products you sell, the transactions you enter into with buyers, and any disputes arising from them. The marketplace and related services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Nothing in this agreement makes Versic the merchant of record or a guarantor of any sale.
14. Termination
You may stop selling and remove your listings at any time. Versic may suspend or terminate your access to the marketplace as described in this agreement. Termination does not relieve you of obligations that by their nature survive, including content warranties, indemnification, responsibility for taxes, and responsibility for refunds, chargebacks, and disputes on completed sales.
